datma.FED - Free Tier: Terms & Conditions 

Federation (datma.FED)

The collective technology platform and business model that datma provides for facilitating access to data and tools for Data Consumers.

Data Consumer means any person that has activated a user account  to gain access to the Federation.

datma Responsibilities

datma will make commercially reasonable efforts to:

  1. Provision access to a free version of the “bio marker explorer” application that would allow a user to explore the prevalence of biomarkers in the data that is available in datma.FED;

  2. Provide user guide to help user navigate the application; and

  3. Notify users via email as new data and capabilities are incorporated into the application.

Data Consumer Responsibilities

Data Consumer’s responsibilities while accessing the Federation will include:

  1. You must be a human. Accounts registered by "bots" or other automated methods are not permitted.

  2. You must provide a valid email address, along with any other information required by datma during the registration process.

  3. You must not misrepresent your identity when registering for access to the federation

  4. You are responsible for maintaining the security of your account and password. datma will not be liable for any loss or damage from your failure to comply with this security obligation. 

  5. One person entity may not maintain more than one account.

  6. You may not use the Services for any illegal or unauthorized purpose. You must not, in the use of the Services, violate any laws in your jurisdiction .

  7. The bio marker coverage that is visible in the application is only utilized for the sole purpose of evaluating the utility of data and capabilities provided by datma.FED  and not shared with external entities ;

  8. Does not attempt to bypass the access control to access features that are only available in the paid version of the application; and

  9. Use commercially reasonable efforts to provide feedback and suggestions for improvement on the capabilities of datma.FED.

Free Version

Data Consumer acknowledges and agrees that the access to the Federation provided shall be on a free basis.  Accordingly, Data Consumer further acknowledges and agrees that datma may change the services available to Federation members on a free basis, which changes may be made to, among other things, improve the services, increase security or address changes in laws or regulations.  In addition, datma may, in its sole discretion and at any time, cancel, terminate, modify or suspend the version of the Federation made available on a free basis under this Order Form. datma may also terminate or suspend your use or access to the free version of the Federation in its sole discretion and at any time.

Usage Data

datma will have the right to collect and analyze data and other information relating to the access, use, and performance of the biomarker explorer application (“Usage Data”) and datma will be free (during and after the Term) to use Usage Data to maintain, improve, and enhance datma products and services. Examples of Usage Data include technical logs, metadata, telemetry data, and usage information.

Liability

NOTWITHSTANDING ANYTHING IN THE TERMS & CONDITIONS  TO THE CONTRARY, IN NO EVENT WILL DATMA’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE FREE VERSION OF THE FEDERATION PROVIDED UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE EXCEED $100.  

Indemnification

Data Consumer hereby agrees to indemnify, hold harmless and, at datma’s option, defend datma from and against any Losses resulting from the Data Consumer’s use of the version of the Federation made available to Data Consumer hereunder for free or Data Consumer’s violation of this Terms & Conditions or any law, regulation or third party’s rights.

Disclaimer

Notwithstanding anything in the Agreement to the contrary, the access to the Federation provided hereunder is on an “as-is” basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, non-interruption, accuracy, data location, data retention, or data security. datma does not guarantee that any defects, errors, or omissions will be corrected, regardless of whether datma is aware of those defects, errors, or omissions.

Subscription Term

The Subscription Term commences on the Activation Date ( date on which the user activates their account) and ends on the earlier of: (i) the date that is 120 days after the Activation Date; and (ii) the users procures  subscription for paid-access to the Federation.
